Cape Town Current - Advertising and Services

These terms and conditions govern the provision of advertising, marketing, and related services by WM3 (PTY) Ltd (hereinafter referred to as "the Publisher", "we", "us", or "our") to the advertiser/applicant (hereinafter referred to as "the Client", "you", or "your").

By signing an Advertising Booking Form or placing an order for any advertising or promotional service, you agree to be bound by these terms and conditions. These terms are also available on our website at wm3media.com/terms-and-conditions/.

1. Definitions and Interpretation

1.1. "Advertising Materials" means all artwork, copy, photographs, logos, videos, and other content provided by the Client for publication.

1.2. "Booking Sheet" means the Advertising Booking Form completed and signed by the Client.

1.3. "Campaign Period" means the duration of the advertising campaign as specified in the Booking Sheet.

1.4. "Publisher" means WM3 (PTY) Ltd and its associated platforms, including Cape Town Current.

2. Booking and Acceptance

2.1. All bookings are subject to acceptance by the Publisher and confirmation of availability.

2.2. A booking is confirmed only when the signed Booking Sheet is received and acknowledged by the Publisher.

2.3. By signing the Booking Sheet, the Client confirms that they possess the necessary authority to enter into this agreement.

3. Pricing and Payment

3.1. All prices are quoted in South African Rand (ZAR) and exclude 15% VAT unless otherwise stated.

3.2. Invoices are issued within 48 hours of the Client's signature on the Booking Sheet.

3.3. Campaigns commence only after payment is received, unless 30-day payment terms have been pre-approved by the Publisher.

3.4. Payment terms for approved clients are strictly 30 days from the date of invoice.

3.5. The Publisher reserves the right to suspend or cancel any campaign for which payment has not been received by the due date.

4. Cancellation

4.1. The Client may cancel the order at any time prior to the material submission deadline date, provided that:

4.2. If the Client fails to provide written notice and the required 50% payment, the Client shall be liable for the total value of the order, notwithstanding any purported cancellation.

4.3. A minimum of 14 days' notice is required for cancellation of any campaign.

4.4. No refunds will be issued after artwork has been submitted by the Client.

5. Materials and Deadlines

5.1. The Client agrees to submit all final artwork and copy to the Publisher no later than ten (10) full working days prior to the scheduled campaign start date.

5.2. Any artwork or copy submitted after the material submission deadline will be subject to a fee per advertorial edit.

5.3. The Client warrants that they own or have obtained all necessary rights, licences, and permissions for all submitted materials.

5.4. The Publisher reserves the right to edit any content for style, grammar, length, or formatting to fit the publication's standards.

5.5. All banners and advertisements must adhere to the specified sizes as set out in the Publisher's media kit.

• Images should be a minimum of 1200x900px.
• Provide the highest quality images available.
• Minimum image size: 500x500px.
• Banner sizes: 1140x185px or 758x100px.

6. Intellectual Property

6.1. The Client retains ownership of all intellectual property rights in the Advertising Materials provided to the Publisher.

6.2. The Client grants the Publisher a non-exclusive, royalty-free licence to use, reproduce, distribute, and display the Advertising Materials for the purpose of fulfilling the agreed campaign.

6.3. The Client warrants that the Advertising Materials do not infringe any third-party intellectual property rights, including copyright, trademark, or privacy rights.

7. Limitation of Liability

7.1. The Publisher will use all reasonable endeavours to ensure that advertisements are published as booked, but accepts no liability for errors, omissions, or failure to publish.

7.2. In the event of any error or omission, the Publisher's liability shall be limited to the cost of the advertisement in question, or the provision of a replacement advertisement.

7.3. The Publisher shall not be liable for any indirect, consequential, or special damages arising from the publication of any advertisement.

The Client agrees to indemnify and hold harmless the Publisher, its directors, employees, and agents from and against any and all claims, losses, damages, costs, and expenses arising from:

10. Force Majeure

The Publisher shall not be liable for any failure to perform its obligations under this agreement where such failure arises from circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, strikes, or technical failures.

11. Governing Law

11.1. These terms and conditions shall be governed by and construed in accordance with the laws of the Republic of South Africa.

11.2. The parties agree to submit to the exclusive jurisdiction of the courts of South Africa in respect of any disputes arising from this agreement.

12. General

12.1. The Publisher reserves the right to amend these terms and conditions at any time. The latest version will be available on our website.

12.2. If any provision of these terms and conditions is found to be invalid or unenforceable, the remaining provisions shall continue to apply.

12.3. These terms and conditions constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements.


13. Additional Services

13.1. All prices quoted exclude agency fees. If the Client requires graphic design or video creation services, these will be charged separately.

13.2. The Publisher can advise on suitable contractors to complete such work if the Client does not have in-house staff or the services of a contractor or agency.

14. Billing & Payment Terms

By signing the Advertising Booking Form, the Client confirms that they are authorised to act on behalf of the company or entity named in the Booking Sheet and agrees to WM3 (PTY) Ltd's trading terms.
